Jessika Arce Graham is a Partner whose practice focuses on mergers and acquisitions, corporate transactions, and strategic business matters. She represents founders, privately held companies, entrepreneurs, and investors in middle-market transactions, with a particular emphasis on guiding business owners through the sale of their companies.
Jessika advises clients throughout the full lifecycle of a transaction from early-stage planning, deal structuring, and letters of intent through due diligence, negotiation of definitive agreements, and closing. She works closely with clients to understand both the legal and business considerations driving a transaction and helps them identify risk, preserve leverage, and navigate decisions that can materially affect deal value.
Recognizing that the strongest outcomes are often shaped long before a buyer appears, Jessika also counsels business owners on preparing their companies for a future sale or strategic opportunity. Her work includes helping clients strengthen corporate governance, clarify ownership and capitalization, protect intellectual property, address contractual and operational risks, and build businesses positioned for growth, investment, or exit.
Jessika’s background in bankruptcy and restructuring gives her an additional perspective when advising on distressed transactions, workouts, and matters involving financially challenged businesses or counterparties.
She also advises clients on select real estate acquisitions and dispositions, particularly when the real estate component is part of a broader corporate transaction.
